Terms of service

Magpie is a receipts and compliance tool for UK limited companies, operated by J M DIMONACO LTD (registered in England and Wales, company number 14260548). It watches bank feeds you connect, finds the matching receipt email for each payment, files the receipt when you confirm it, and tracks Companies House and HMRC deadlines so you are nagged before anything is late. By creating an account you agree to these terms and to the Privacy Policy.

Magpie surfaces deadlines, organises receipts, and helps prepare paperwork. It is not an accountant or a law firm, and nothing it shows or generates is financial, tax or legal advice. Deadline dates are derived from public Companies House data and published HMRC rules in good faith; documents and exports Magpie prepares are drafts built from your data for you and your accountant to check; any figure Magpie estimates is an estimate, not a certification. Your filings, your taxes and their deadlines remain your responsibility. If a date or a document matters, verify it with Companies House, HMRC or your accountant.

One specific thing, because it matters: adding an accountant to your Magpie organisation shares your data with them inside Magpie — it does not appoint them as your agent with HMRC or anyone else. Agent authorisation happens with HMRC directly, outside Magpie.

You are responsible for your account: keep your password to yourself, keep your email reachable, and only connect bank accounts and inboxes you are entitled to connect. Magpie is for business use: by creating an account you confirm you are at least 18 and using it in the course of business — yours, your company's, or a client's — not as a consumer.

If you invite other people into an organisation, you are choosing to share that organisation's data with them (see the Privacy Policy on who can see your data). What an invited member does with data outside Magpie — an accountant loading your records into their own practice software, say — is between you and them, under their own professional and legal obligations.

Use Magpie for its purpose. Don't use it to break the law, don't try to access other people's data, don't probe or overload the service, and don't resell it as your own. Accounts doing any of that can be suspended or closed.

Your data is yours. You give Magpie permission to store and process it purely to run the service — matching, vaulting, exporting, reminding — as described in the Privacy Policy. You can export your data at any time (accountant export packs) and delete your account and all its data from Settings.

Magpie — the software, the design, the name — belongs to J M DIMONACO LTD. Your data is yours (see section 05); you grant us only the permission needed to store and process it as described. Nothing in these terms transfers ownership in either direction.

Magpie is an early product, provided as-is and as-available, without warranties of any kind. It depends on third parties (banks, Google, Microsoft, TrueLayer, Companies House) that can change or fail, and things will occasionally break. To the fullest extent the law allows, J M DIMONACO LTD is not liable for losses arising from your use of Magpie — including a missed filing deadline or a missing receipt. If a court decides some of this liability cannot be excluded, then to the extent allowed our total liability for all claims arising in any 12-month period is capped at the greater of £100 and the amount you paid for Magpie in that period. Nothing in these terms excludes liability that cannot legally be excluded (such as for fraud, or death or personal injury caused by negligence). If any part of these terms turns out to be unenforceable, the rest still stand.

Magpie will change — features may be added, altered or removed. These terms may change too: material changes will be flagged in the app or by email, and the date at the top of this page will move. Continuing to use Magpie after a change means you accept it. You can stop using Magpie and delete your account at any time; Magpie can suspend or close accounts that seriously break these terms.

If Magpie closes your account for any reason other than a serious breach of these terms, or shuts down entirely, you will get at least 30 days' notice and the chance to export your data first.

These terms are governed by the law of England and Wales, and its courts have jurisdiction over any dispute. They are the entire agreement between you and J M DIMONACO LTD about Magpie, and nobody other than you and J M DIMONACO LTD can enforce them (the Contracts (Rights of Third Parties) Act 1999 does not apply).
